These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Webnity ("we," "our," "us"). By accessing our website or engaging our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use our services.

01 Definitions
- "Webnity," "we," "our," "us" refers to Webnity, a digital agency located in Rawalpindi, Punjab, Pakistan.
- "Client," "you," "your" refers to the party that engages Webnity to provide services or access their website.
- "Services" relates to website design and development, search engine optimization (SEO), social media marketing (SMM), management of PPC campaigns for Google and Meta ads, designing e-commerce websites, e-mail marketing, among others, provided by Webnity.
- "Agreement" includes the present Terms of Services, any signed proposals or agreements and documentation relating to the services to be provided and their cost.
- "Deliverables" includes the deliverables including designs, codes, reports and work done on behalf of the client.
- "Project Brief" is a document outlining the scope and goals of the projects to be undertaken.
02 Services Offered
The services offered by Webnity to clients include but are not limited to:
- Website Design & Development (Webpages, Landing Pages and Ecommerce websites)
- Search Engine Optimization (On-page SEO, Off-page SEO & Technical SEO)
- Management and optimization of PPC campaigns for Google and Meta Ads
- Social Media Marketing on different networks such as Facebook, Instagram, TikTok and LinkedIn
- Creating and managing e-mail marketing campaigns and automation
- Digital Marketing Strategy development & consultation
- Website maintenance and hosting
Scope of services provided in each engagement will be detailed in the corresponding project brief.
03 Client Obligations
For performance of the services, the Client should:
- Provide accurate and timely information required for the project execution
- Assign one contact person authorized to give the consent for deliverables and decision making on the project
- Comment or approve deliverables within the deadlines mentioned in the project schedule
- Ensure the ownership rights of content, logos, pictures, and other materials that are going to be used by Webnity either belongs to the Client or authorized by him/her for use
- Pay in accordance with the payment plan agreed beforehand
- Inform Webnity about the changes in Client's needs, contacts' information, and access credentials
Delay due to a lack of timely response, insufficient deliverables, and non-provision of necessary information might result in a delay of the project's deadlines. Webnity will inform you about delay in written form.
04 Payment Terms & Fees
Fees will be mentioned in PKR or USD, including tax exceptions as agreed, except where mentioned differently.
- Down Payment: 50 percent down payment is compulsory to pay before the start of services, and the remaining amount will be paid at the completion of services.
- Recurring Services: Monthly fees will be paid in advance for recurring services such as SEO, Social Media Management, and Pay-per-click campaigns. Due dates are seven days after receipt of invoices.
- Delays in Payment: In case of failure in payment of the account within fourteen days from the due date, additional costs will occur. It is reserved for Webnity to stop providing service until all accounts become paid off.
- Advertising Budget: The cost for the advertising budget from third parties via Google Ads, Meta Ads, and other social media sites will be borne by the Client separately from the Webnity management cost.
- Accepted Modes of Payment: Bank Transfer, Easypaisa, Jazzcash, and other modes of payment in writing.
05 Project Delivery & Timelines
While Webnity will do its best to complete all projects within the specified timeframes communicated to the client, it should be noted that all timelines are estimations, subject to:
- On-time delivery of the necessary resources/materials and approval/feedback from the client
- Level of difficulty and the extent of work involved
- Dependencies on other external parties like domain registrars or hosting providers
- Other events beyond our reasonable control
The company will not be held liable for any damages resulting from delays that were outside its control or due to the client's failure to act. Should Webnity foresee delays, we will inform you as soon as possible.
06 Revisions & Change Requests
All projects have an allocated number of revision rounds as outlined in the project proposal. Typically allowed revisions are:
- Website Design: Up to two rounds of revision per main section
- Logos and Branding: Up to three rounds of revision
- Content Copy: Corrections and minor changes within the scope
Please ensure to submit your revisions in writing (email/WhatsApp) in consolidated form. Revisions which will be made piecemeal in subsequent revisions will be counted as separate revision rounds.
Requests that are out of scope of the project, such as requests to add new pages or features or request to completely revise design directions, shall be considered change requests, and these will be priced separately.
Any change to the scope agreed upon at the beginning of the project must be authorised in writing by both parties before any work starts. Work done without proper approval of changes to the project scope will not be provided.
07 Intellectual Property
Materials Provided By The Client: Ownership rights to any images, content, and other materials provided to Webnity by the client rest entirely with the Client. The Client warrants that all material provided by them falls under their ownership or otherwise, that they own the usage rights for them. The client further warrants that they indemnify Webnity for any legal claims made against them because of usage of such content.
Deliverables: On full completion of payments, Webnity assigns to the client ownership rights to all agreed upon deliverables (website, logo, ad creatives etc.). Deliverables assigned do not include any frameworks or third party licensing involved in delivery.
Webnity's Rights: Webnity has the right to publish and promote deliverable projects in its portfolio for marketing purposes (case studies, promotions, portfolios) unless otherwise instructed in writing by the client.
Third-Party Licences: Delivery may require certain plugins/themes/licenses. Such licences are not assigned as part of deliverable packages but rather need to be maintained post-delivery by the client.
08 Confidentiality
It is understood that all proprietary or confidential information exchanged between the parties during the term of this contract is kept confidential. Proprietary or confidential information includes but is not limited to business strategy, financial information, login credentials, proprietary products, and customer lists.
Webnity will not share any confidential information about the Client with third parties, except as necessary to fulfill its obligations under this agreement (e.g., providing credentials to a hosting service), or where it is legally obliged to do so.
The confidentiality obligation stated above is binding beyond the contract's termination and continues for 3 years following the end of the business relationship between the parties. In case the parties agree upon a longer period of confidentiality in a Non-disclosure agreement, the same terms would apply to such an agreement.
09 Limitation of Liability
Under no circumstances can Webnity's maximum liability towards the Client in connection with the present contract exceed the total fees paid by the Client for the previous three (3) months prior to the filing of any claims against Webnity.
Webnity will not be responsible for:
- Any indirect, consequential, or incidental losses, including but not limited to losses of profit and revenue
- Loss of data or business opportunity or any goodwill damage
- Faults related to third-party platforms (Google, Meta, hosting providers, and so forth)
- Achieved results of the campaign, due to the variety of external factors affecting them
- Technical issues related to the downtime, hacking, and other security incidents on third-party hosting environments
No guaranteed results may be promised by Webnity. Although we will use professional practices and strategies in digital marketing to accomplish your objectives, there are no guarantees of obtaining certain ranks, leads, sales, or ROAS.
10 Warranties & Disclaimers
Webnity warrants that:
- The Services shall be performed with reasonable skill, care, and professionalism
- Deliverables will substantially conform to the Project Brief agreed upon
- We have the right to enter into this Agreement and perform the Services as described
Webnity disclaims all other warranties, whether express or implied, including without limitation those of fitness for a particular purpose or merchantability. Our website and the content displayed thereon are provided as is and without warranties of any kind.
11 Termination
Client's Right to Terminate: The Client has the right to terminate the agreement by giving 30 days prior written notice. All work performed before termination will be billed accordingly, and payment is required. An initial deposit is non-refundable.
Webnity's Right to Terminate: Webnity has the right to terminate the agreement immediately if:
- The Client fails to make payment within 30 days from the date payment is due despite being notified in writing
- The Client behaves abusively or illegally towards us
- The Client requests something which may violate the relevant law, these Terms or our ethical standards
Upon Termination: Both parties are obligated to return all confidential documents and/or destroy them. Webnity will deliver all work that has been performed and paid for. Partly completed work shall belong to Webnity until we receive full payment.
12 Refund Policy
Our top priority is client satisfaction. Here's our refund policy:
- Initial Deposit: Not refundable as it covers our planning and strategic work.
- Project Cancellation: In case the Client decides to cancel after work begins, a refund of the unused amount may be available. This is subject to the discretion of Webnity and based on the progress made.
- Monthly Retainers: Once the service commences, monthly retainers cannot be refunded. Cancellation will be effective at the end of the billing period provided the Client gives us 30 days notice.
- Disagreements: In case you are dissatisfied with our work, please reach out to us at contact@webnity.co. We will try to work things out. Refund in such a case depends on specific circumstances.
We strive to meet your needs and expectations. In case we have failed to do so, we will address the problem. Contact us first regarding any dispute.
13 Acceptable Use of Website
Accessing Webnity means that you promise not to:
- Utilize our website in any manner that is illegal, fraudulent, or malicious
- Try to obtain unauthorized access to any part of our website or our systems
- Post inaccurate, misleading, or spam information in our contact forms
- Harvest our website's content without explicit permission in writing
- Upload any harmful software such as viruses or malware onto our website or any system connected to it
- Utilize our website in any manner which could disrupt the normal operation of the website or our systems
We have the right to deny access to our website to anyone who violates these acceptable use policies.
14 Governing Law & Disputes
These Terms of Service shall be construed in accordance with the laws of the Islamic Republic of Pakistan. All disputes arising under or relating to these Terms of Service shall be exclusively settled in the courts of Rawalpindi / Islamabad, Pakistan.
Resolution of Disputes: Prior to seeking any kind of legal recourse for any dispute, the Parties agree to negotiate in good faith to attempt to settle their dispute. Notice of dispute should be submitted to the other Party in writing. In case if the disputing parties are unable to resolve their dispute within 30 days of receipt of notice, either of the disputing parties is free to pursue legal remedies.

15 Changes to These Terms
At our sole discretion, Webnity may revise these Terms of Service at any time. Such changes shall be posted here along with an "updated on" date. For active clients, material changes will be notified by e-mail prior to going into effect.
Your continued usage of our website after making changes indicates your agreement to the changes. Should you find any of the changes unacceptable, we encourage you to cease using our website or services and notify us of your decision in writing.
